Instalco becomes majority owner of German installation group Fabri

Instalco has entered into an agreement to acquire an additional 27 percent of the shares in the German installation group Fabri AG. Following the transaction, Instalco will own 51 percent of the votes and share capital in Fabri, becoming the group's majority owner.

The acquisition is the next planned step in Instalco's long-term expansion into the German market, following its initial investment in Fabri in 2024. Since then, Fabri has continued to develop strongly and today consists of 23 subsidiaries with around 800 employees across Germany. The group operates within electrical installations, heating and plumbing, ventilation and related technical disciplines, and continues to see a favourable market with an attractive pipeline of acquisition opportunities.

"Germany is one of Europe's largest installation markets and Fabri has continued to develop very well. With this transaction, we take the next planned step and establish our platform for continued long-term growth in Germany. We continue to see significant potential in Fabri's decentralised business model and strong local entrepreneurship," says Per Sjöstrand, CEO of Instalco.

Fabri will continue to operate under its existing local management team and with the same decentralised business model. The current owners will remain significant shareholders and long-term partners in the business. Markus Zübert, CEO of Fabri, will also join Instalco's Group Management.

"Instalco has always been a clear role model for us at Fabri. The collaboration since Instalco's investment in 2024 has developed very well, and we have had a close exchange of experience between the organisations. We look forward to continuing our growth journey together with Instalco as majority owner," says Markus Zübert, CEO of Fabri.

For the full year 2025, Fabri reported net sales of EUR 86 million and an EBITA margin of 12.7 percent. Including companies acquired during the year, pro forma net sales amounted to EUR 117 million.
